1. Introduction

Welcome to Algorithm Innovations Ltd (“the Company,” “we,” “our,” or “us”).
By accessing or using any of our platforms, websites, applications, or services — including Algorithm Institute, Algorithm Studio, and related products — you agree to comply with these Terms & Conditions (“Terms”).

These Terms govern all client projects, online transactions, software licenses, digital content, and related services provided by the Company.

If you do not agree with these Terms, please discontinue use of our services.

2. Scope of Services

Algorithm Innovations Ltd provides technology and digital solutions including:

• Custom software, web, and mobile app development
• Online learning platforms and digital training
• Hosting, licensing, and maintenance
• Subscription-based digital products and tools
• Consultancy and system deployment

Each service may include additional specific agreements (e.g., contracts, service level agreements, or quotations) that supplement these Terms.

3. Account Registration & Responsibility

Users must provide accurate and complete information when creating an account or engaging our services.
You are responsible for:

• Maintaining the confidentiality of your account credentials.
• Ensuring that all activities under your account comply with applicable laws and these Terms.
• Informing us immediately of unauthorized access or suspected security breaches.

Algorithm Innovations Ltd is not liable for losses arising from misuse of credentials or account negligence.

4. Payment Terms

All payments must be made according to approved invoices or subscription pricing.

• Accepted Channels: Bank transfer, debit/credit cards, payment gateways, or authorized third-party processors.
• Currency: Payments are accepted in ₦ (NGN) and $ (USD), depending on the client’s region.
• Non-Refundable Fees: Once a project milestone or digital access is delivered, associated payments become non-refundable. See our refund policy.
• Taxes & Charges: All transactions may attract statutory taxes or gateway charges as required by law.

5. Intellectual Property Rights (IPR)

Unless explicitly stated otherwise:

• All source code, designs, databases, and content produced by Algorithm Innovations Ltd remain the exclusive property of the Company.
• Clients receive a license to use the final product for their agreed purpose, not ownership of its codebase or architecture.
• Unauthorized copying, resale, or modification of Company property is strictly prohibited.

For projects under the Diamond Model, full IP transfer applies upon final payment and documented handover.

6. Confidentiality & Data Protection

Both parties agree to protect confidential information exchanged during and after the project.

• The Company will process all personal data in compliance with our Privacy Policy and applicable data protection laws.
• Clients must not disclose any proprietary materials, strategies, or frameworks belonging to the Company.

Violation of this clause may lead to contract termination and legal action.

7. Service Delivery & Timelines

• Project timelines are estimated based on agreed scope and milestones.
• Delays caused by late feedback, incomplete materials, or third-party dependencies are not the Company’s responsibility.
• The Company reserves the right to adjust timelines or suspend work if payment terms or requirements are not met.

For online platforms, access is provided immediately after payment confirmation, except during maintenance windows.

8. Maintenance & Support

• Maintenance terms differ based on selected pricing models (Bronze, Silver, Gold, Platinum, Diamond).
• Ad-hoc maintenance is billed per request, while managed systems follow quarterly or annual cycles.
• Support tickets, bug fixes, and updates must be logged via official communication channels.

Unapproved technical alterations to Company-developed systems void all warranties and support obligations.

9. Refunds, Cancellations & Replacements

Refunds and cancellations are governed by the Refund Policy.

• Refunds are limited to specific conditions such as non-delivery, duplicate payments, or pre-access cancellations.
• Digital products, downloadable materials, and activated licenses are non-refundable.
• The Company may issue replacements, store credits, or extensions as alternatives to direct refunds.

10. Termination of Agreement

Either party may terminate a project or service engagement with written notice under the following conditions:

• Breach of contract or non-compliance with payment terms.
• Violation of confidentiality, intellectual property, or ethical clauses.
• Prolonged unresponsiveness or project abandonment exceeding 30 days.

Upon termination:

• All completed deliverables up to that point remain the property of Algorithm Innovations Ltd until outstanding payments are settled.
• The Company reserves the right to replace or reassign the developer, freelancer, or partner to maintain project continuity.
• No partial refund applies for work already delivered.

The Company also retains the right to suspend or permanently ban user access to its platforms for violations of these Terms.

11. Limitation of Liability

Algorithm Innovations Ltd shall not be held liable for:

• Any indirect, incidental, or consequential damages arising from use of its services or digital products.
• Downtime caused by third-party hosting, power, or network failures.
• Losses resulting from unauthorized access due to user negligence.

Our total liability shall not exceed the amount paid by the client for the specific service in question.

12. Third-Party Tools & Integrations

Some products or systems may integrate with third-party APIs, libraries, or services.

• Clients agree to comply with the licensing and usage terms of such third parties.
• Algorithm Innovations Ltd is not responsible for limitations or failures arising from these integrations.

13. Modifications & Updates

We may revise these Terms periodically to reflect changes in business operations, technology, or law.
All updates will be posted on our official website, and continued use of our services constitutes acceptance of the revised Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.
Any dispute shall first be resolved amicably between parties.
If unresolved, the matter shall proceed to arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria.
